As a key industry player, we want to ensure we operate in compliance with the rules, regulations and applicable laws and that Swift’s policies and procedures are being respected.Swift is seeking a Senior Corporate Governance Officer in the Legal Entity Management team to maintain and support our legal entities located in 27 different jurisdictions. Reporting to the Head of the Corporate Governance and Oversight, she/he will be based in our La Hulpe office.The Corporate Governance and Oversight Team is part of the Legal and Compliance Department and is composed of the Board Office, Legal Entity Management, Membership and Oversight teams.The Legal Entity Management (LEM) Office is in charge of coordinating the different aspects of the management of the Swift group of entities, i.e. ensuring compliance with local corporate laws and maintaining the Regional Office Manual. Every year, depending on the local entity structure, the LEM Office will, amongst other things, organize the Board/Annual General Meetings, and prepare the relevant minutes. The team will also take care of issuing/revoking signatory powers, filing corporate documentation and reporting to the local authorities as need be.Responsibilities:As Senior Corporate Governance Officer in the Legal Entity Management team, you will manage a group of companies located in 27 different jurisdictions, be in charge of general corporate housekeeping matters, and your responsibilities will include:
  • Supporting the Corporate Governance and Legal Entity Management teams in all governance matters and management of legal entities
  • Manage Swift’s corporate structure, including legal entity formation, merger and dissolution processes, and ongoing compliance with legal requirements
  • Draft and review resolutions of the board of directors and shareholders of the group companies and documents related to entities, including formation documents, board and shareholder meeting minutes, and other compliance documentation
  • The issuance of powers of attorney, renewal of Board mandates, the keeping of records etc. to ensure that the company conducts its business in a legal and proper manner;
  • The design and implementation of all necessary policies and procedures to ensure that the company and the group comply with its articles of association and its statutory obligations;
  • Independently issue regular reports on the status of compliance of the group and challenge other parties to ensure proper assurance in given to the Boards of Directors;
  • Monitor and follow-up on new legal requirements and translate them into actions;•Within the context of corporate governance, assist the Head of Corporate Governance & Oversight together with the General Counsel to aim to assure that the company, its officers and employees are informed of and comply with corporate governance principles, Companies laws and internal rules.
  • Coordinate and project manage numerous stakeholders across all levels of the organization to effectively collaborate on key projects
  • Planning and coordination with cross-functional teams to effectively support the corporate structure
As a member of the Corporate Governance & Oversight Team, you will also be exposed to and contribute to other governance related matters.Profile:University degree or higher education degree in business administration / law and / or at least 3 - 5 years of equivalent work experience.
  • Familiar with paralegal activities and compliance processes and assurance in general. Ability to develop and maintain processes and procedures.
  • Experience with corporate governance related matters and corporate law in general.
  • Strong analytical skills. Proficiency in reporting tools, Office tools, etc is a plus.
  • Ability to manage and coordinate projects, organize and oversee execution, work independently.
  • You have good business acumen. Knowledge of financial markets and/or Swift’s business, products and organisation is a plus
  • Strong organizational skills and meticulous attention to details
  • Strong verbal and written communication skills. Fluent in English and French both verbally and in writing, other languages are an asset.
